Terms of Service
The agreement between HyGenesis LLC d/b/a DARO Clinical and subscribing practices. Version 2026-09-28.
Who these terms cover
These terms are between HyGenesis LLC, a Florida limited liability company doing business as DARO Clinical ("HyGenesis", "we" or "us"), and the healthcare practice or organization that subscribes (the "Customer"). DARO Clinical is HyGenesis's clinical software product; DARO Touch is its mobile and voice companion, and DARO Ambient is its AI-assisted capture layer (together, "DARO"). These terms govern the Customer's and its authorized staff's ("Users") use of DARO. Patients who use the portal, intake or payment links are covered by the Privacy Policy and the practice's own Notice of Privacy Practices.
By creating a practice or accepting an invitation, you agree to these terms on behalf of the Customer and confirm you are authorized to do so.
Business Associate Agreement
DARO acts as a business associate of the Customer under HIPAA. A Business Associate Agreement (BAA) forms part of these terms and must be in effect before the Customer enters real patient information. Sandbox and demonstration practices contain fabricated patients only and must never hold real patient information.
Clinical responsibility
DARO is documentation, workflow and billing software. It does not practice medicine. Ambient drafts, coding suggestions, calculators, guideline prompts, documentation advisories and safety checks are aids that a licensed clinician must review. The clinician who signs a note is responsible for its content. The Customer is responsible for claims it submits.
DARO is not certified under the ONC Health IT Certification Program. Customers that need certified technology for incentive programs must confirm eligibility independently.
Accounts and access
Users must keep credentials private, use two-factor sign-in where the practice requires it, and lock or sign out of shared workstations. Practice admins control who has access and what they can do, and must remove access promptly when staff leave.
Subscriptions and payment
Plans, seat prices and usage charges are listed on the pricing page. Subscriptions renew automatically until cancelled. Trials convert only when the Customer adds a payment method. Fees are non-refundable except where required by law. Unpaid accounts may be placed in read-only mode; records remain exportable.
Customer data
The Customer owns its data. DARO uses it only to provide and support the service, as described in the BAA and the Privacy Policy, and never sells it. The Customer can export its complete record set at any time, including after cancellation for at least 90 days. Retention after termination follows the Records Retention section of the Security page and the BAA.
Acceptable use
Do not attempt to access another practice's data, probe or disrupt the service, reverse engineer it, or use it for unlawful purposes. DARO may suspend access to protect patients, the service or other customers.
Availability and support
DARO aims for high availability and provides a downtime mode for continuity. Planned maintenance is announced in advance. Support is available at support@daroclinical.com.
Warranties and liability
Except as stated in these terms and the BAA, DARO is provided "as is". To the extent permitted by law, each party's aggregate liability is limited to the fees paid in the twelve months before the claim, and neither party is liable for indirect or consequential damages. These limits do not apply to breach of confidentiality obligations or amounts owed.
Changes and governing law
DARO may update these terms with at least 30 days' notice for material changes. Governing law and venue will be stated in the final version of these terms.
